Terms of Service

These Terms of Service ("Terms") govern your access to and use of Deskio AI, a conversational assistant platform built and operated by Zertix Studio ("we", "us", "our"). By registering a business or using our chat widget, you agree to these Terms.

1. The Service

Deskio AI provides an AI-powered conversational assistant that businesses can embed on their website to answer customer questions, collect booking information, and generate leads. Responses are generated using AI models and our own predictive models; while we aim for accuracy, responses may occasionally be incorrect and should not be treated as professional, medical, financial, or legal advice. Deskio AI may integrate with third-party services (such as Google Calendar) to facilitate appointment scheduling. By connecting your Google account, you authorize Deskio AI to interact with your Google Calendar solely for managing appointment slots as configured in your settings.

2. Business Accounts

When you register a business on Deskio AI, you are responsible for the accuracy of the information you provide (pricing, services, hours) and for how the assistant represents your business to your customers.

3. Acceptable Use

You agree not to use Deskio AI to send unlawful, deceptive, or harmful content, to impersonate another business or person, or to attempt to disrupt, abuse, reverse-engineer, or gain unauthorized access to the service.

4. Data & Content

Conversations, bookings, and uploaded documents processed through your business account belong to you. See our Privacy Policy for details on how we handle this data. When utilizing third-party integrations (e.g., Google Calendar, WhatsApp API, or AI Providers), you also agree to comply with the respective third-party terms of service.

5. Intellectual Property Rights

Zertix Studio and its licensors own all rights, title, and interest in Deskio AI, including the platform software, source code, interfaces, AI orchestration, models and model configurations, documentation, branding, trademarks, and other platform content. These Terms grant you a limited, non-exclusive, non-transferable right to use the service during your account term. You may not copy, resell, reverse engineer, or create derivative works from the platform except where applicable law expressly permits it.

You retain ownership of the business information, customer conversations, leads, bookings, documents, and other data that you submit to or generate through your account. You grant us only the limited rights needed to host, secure, process, and provide the service to you.

6. Service Availability & Disclaimers

We aim to maintain high availability, but Deskio AI is provided on an "as-is" and "as-available" basis. We do not guarantee uninterrupted or error-free operation, 100% uptime, or that every AI response will be accurate, complete, or suitable for a particular purpose. Availability may be affected by maintenance, third-party services, internet connectivity, or circumstances outside our reasonable control.

Deskio AI is an assistance and communication tool, not a substitute for professional medical, legal, financial, insurance, or real-estate advice. You are responsible for reviewing important information and verifying critical bookings, appointment details, customer records, and business decisions before relying on them.

7. Suspension, Termination & Cancellation

We may suspend, restrict, or terminate an account when reasonably necessary to prevent spamming, unlawful activity, fraud, harassment, platform misuse, reverse-engineering, unauthorized access, a material breach of these Terms, or harm to the service or another user. Where practical, we will provide notice and an opportunity to address the issue. We may also suspend access immediately where required to protect the platform, users, or data.

You may voluntarily close your account by using the available account controls or contacting us. You may also request deletion of your business data. We may retain limited information where required by law or reasonably necessary for security, fraud prevention, dispute resolution, or legitimate record-keeping.

8. Limitation of Liability

Deskio AI is provided "as is". Zertix Studio is not liable for indirect, incidental, or consequential damages arising from use of the service, including missed bookings or inaccurate AI-generated responses.

9. Dispute Resolution & Governing Law

These Terms are governed by the laws applicable in the jurisdiction where Zertix Studio maintains its principal place of business, without regard to conflict-of-law rules. The parties agree that the competent courts in that jurisdiction have exclusive jurisdiction over disputes arising from these Terms, subject to any mandatory consumer-protection rights that cannot lawfully be waived. Before filing a claim, the parties will try in good faith to resolve the dispute by written notice and discussion.

10. AI Assistant Identity Disclosure

Deskio AI is an automated, artificial-intelligence-based conversational assistant — not a human representative — unless a business has enabled a live agent to take over a conversation, in which case the interface indicates that a human is now responding. The chat widget identifies itself as an "AI assistant" to visitors before a conversation begins. Businesses using Deskio AI may not configure, instruct, or represent the assistant as a human being, or otherwise attempt to disguise its automated nature from customers.

Some jurisdictions require clear disclosure when a business uses an automated system to communicate with consumers, particularly for commercial or sales-related purposes. You are responsible for ensuring your use of Deskio AI complies with any disclosure requirements that apply to your business and location; this section describes how the platform itself is designed to behave, not a legal opinion on your specific obligations.

11. Fair Housing Compliance — Real Estate Businesses (USA)

If you are a real estate business operating in the United States, your use of Deskio AI must comply with the federal Fair Housing Act and applicable state and local fair housing laws, which prohibit discrimination in the sale, rental, financing, or advertising of housing on the basis of race, color, religion, sex, national origin, familial status, or disability.

Deskio AI's assistant is not designed or configured to screen, filter, recommend, or steer prospective customers based on any protected characteristic. You may not customize the assistant — through custom instructions, persona settings, property descriptions, or otherwise — in a way that would violate fair housing requirements. You remain solely responsible for ensuring that your business's use of the assistant complies with fair housing law. Zertix Studio does not review individual account configurations for fair housing compliance; consult a qualified attorney if you have questions about your specific obligations.

12. License/Registration Number Disclaimer

Any professional license, registration, or membership number a business provides through Deskio AI — including but not limited to real estate, dental, or insurance license numbers — is supplied by that business and is not verified by Zertix Studio. We do not check license numbers against any state, provincial, or national licensing authority, and we make no representation as to their accuracy, validity, or current status. If a business provides such a number, the AI assistant may repeat it back to customers exactly as given.

The business is solely responsible for ensuring any license or registration number it provides is accurate, current, and genuinely its own, and for complying with all applicable professional licensing requirements in its jurisdiction. Zertix Studio disclaims all liability arising from inaccurate, expired, or fraudulent license information a business provides and that is subsequently shared with its customers through the AI assistant.

13. Changes

We may update these Terms from time to time. Continued use of Deskio AI after changes constitutes acceptance of the updated Terms.
